Objective
To achieve long term capital appreciation and generate maintainable levels of income for shareholders through investing in small and medium sized unlisted and AIM/NEX quoted companies. The company investing the majority of its funds in a diversified portfolio of shares and securities of smaller, unquoted UK companies and in AIM companies which meet the criteria of VCT qualifying investments and have strong growth potential.

Fee Structure
Performance related management fee 20% of the increase in the NAV of the company, over the 6 month periods to the end of Aug and Feb in each year. The fee is subject to a maximum of GBP 1.25m in any year to the end of Feb and a minimum of 1.9% p.a. of the NAV of the company. A fixed secretarial fee is GBP 50,000 p.a. Contract terminable on 6 months notice.
Dividend Policy
The Board and the Manager recognise the importance of tax-free distributions to Shareholders and, subject to the considerations outlined above, will seek, as a guide, to pay an annual dividend that represents around 5% to 6% of the NAV per share at the immediately preceding year end.
