What is happening?

 

The board of Asia Dragon Trust Plc is proposing to wind up the company and combine with Invesco Asia Trust to form an enlarged company, to be renamed Invesco Asia Dragon Trust plc. You can take no action in relation to your holding in Asia Dragon Trust plc and receive new shares in the combined company or elect to receive cash in place of your holding.

 

You have two options to consider before our deadline of noon on Tuesday 4 February 2025.

 

What are my options?

 

Option 1 - Rollover into Invesco Asia Trust (DEFAULT). You can rollover your holding into Invesco Asia Trust. This will be renamed Invesco Asia Dragon Trust plc. If you would like this option, you do not need to take any action.

 

Option 2 - Cash option. As an alternative to the Invesco Asia Dragon Trust plc shares, you can instead elect to receive cash in place of all or part of your holding. This is subject to an overall limit of 25% of the shares in issue, so if you elect for cash for more than 25% of your holding you may receive the default terms (Invesco Asia Dragon Trust plc shares) for some of your shares instead.

 

Electing for cash – Act by noon Tuesday 4 February 2025

 

If the proposals are approved, they will become effective on 13 February 2025. The new Invesco Asia Dragon Trust plc shares are due from 14 February 2025 and the cash is due from 27 February 2025.
